The opportunity: We are recruiting at Manager, Senior Manager or recently promoted Director level for an established Corporate Finance Transaction Services team. The wider Sydney firm has more than 300 people, providing the scale, resources and breadth of work of a substantial professional services business while retaining the accessibility and entrepreneurial feel of an independent firm. The Corporate Finance team itself is deliberately much smaller. You will therefore be visible. Rather than disappearing into a huge deals department, you will work closely with Partners, have meaningful contact with clients and play an important role in developing the people beneath you. You will report directly to a highly driven Corporate Finance Partner who moves quickly, expects high standards and will give you significant exposure. If you like momentum, responsibility and learning quickly from someone who will challenge you, this environment should suit you particularly well. Two Senior Analysts will report into this position, giving you immediate management and coaching responsibility. More than simply producing a due diligence report, this is a hands-on Transaction Services position centred around financial due diligence, but with the breadth to develop you into a more rounded Corporate Finance adviser. You will work with a varied portfolio that can include privately owned businesses, listed organisations, investors and other transaction participants across multiple industries. Assignments will include both buy-side and sell-side work, with your analysis helping clients understand what is really happening beneath the reported numbers. You will:

  • Lead and deliver financial due diligence assignments.
  • Analyse historical and forecast financial performance, including profit and loss, balance sheet, cash flow and operational information.
  • Identify trends, risks, opportunities and the underlying drivers of earnings.
  • Turn large quantities of financial information into clear commercial conclusions.
  • Assess matters that could influence valuation, purchase price, deal structure and transaction documentation.
  • Prepare high-quality financial due diligence reports and supporting analysis.
  • Lead discussions with clients, management teams and other advisers.
  • Gain exposure to capital raisings and Investigating Accountant assignments.
  • Manage and develop junior members of the team.
  • Build relationships across the wider firm and identify opportunities to work collaboratively with other service lines.
  • Contribute to proposals, pitches and new business development.

At the more senior end, there will be increasing emphasis on developing client relationships and helping to grow the practice. Where could this take you? What are we looking for? Your foundations should have been built in Audit, followed by relevant experience in Transaction Services, Financial Due Diligence or Deals. You are likely to have approximately five or more years of professional services experience, although the level of appointment will reflect the depth of your experience rather than simply years served. You should bring:

  • Strong Financial Due Diligence or Transaction Services experience gained in an accountancy/consulting firm.
  • A grounding in external Audit.
  • Chartered Accountant qualification, ideally, although equivalent international professional qualifications may be considered. CA/ACA/ACCA/CPA
  • Strong financial analysis and commercial judgement.
  • Confidence interrogating financial information and identifying what matters to a transaction.
  • Excellent written communication and report-writing skills.
  • The confidence to deal directly with clients and senior management teams.
  • Experience managing multiple workstreams and deadlines.
  • The ability to coach and develop junior accountants.
  • A proactive, commercially minded approach.
  • An appetite to develop client relationships and contribute to winning work as you progress.
